1.Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of talkingclimate.com (the "Site"), published by the Talking Climate Collaborative ("TCC"), an initiative of Earth HQ. Earth HQ is a project fiscally sponsored by Rockefeller Philanthropy Advisors, Inc. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. About Talking Climate Collaborative

TCC is an initiative of Earth HQ, a project fiscally sponsored by RPA, a 501(c)(3) nonprofit organization. All contracts, funding agreements, and donations related to TCC are made with and held by RPA on Earth HQ's behalf.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use of the Site. Prohibited uses include:

• Attempting to gain unauthorized access to the Site, its servers, or any connected systems;
• Uploading or transmitting viruses, malware, or other harmful code;
• Using automated means (bots, scrapers) to access or collect data from the Site without our written permission;
• Impersonating any person or entity, or misrepresenting your affiliation with any person or entity;
• Using the Site to harass, defame, or harm others, or to post unlawful, infringing, or misleading content.

4. Intellectual Property

All content on the Site — including text, graphics, logos, the TCC brand mark, research reports, and design elements — is owned by or licensed to RPA and is protected by copyright, trademark, and other intellectual property laws. You may view, download, and print content from the Site for personal, non-commercial, and educational use, provided you retain all copyright and other proprietary notices. Any other use, including reproduction, distribution, or creation of derivative works, requires our prior written permission.

5. Newsletter and Communications

By subscribing to the TCC newsletter or submitting a contact form, you consent to receive email communications from us. You may unsubscribe at any time using the link provided in each email or by contacting us directly.

6. Donations

Donations made through the Site are voluntary gifts to RPA, designated in support of TCC. RPA is a 501(c)(3) nonprofit organization; donations may be tax-deductible to the extent permitted by law.

Donations are processed by a third-party payment processor, Every.org. By making a donation, you agree to that processor's applicable terms in addition to these Terms. Except as required by law or as RPA determines appropriate in its discretion, donations are non-refundable.

7. Third-Party Links

The Site may contain links to third-party websites or resources. We do not control and are not responsible for the content, accuracy, or practices of any third-party site. Inclusion of a link does not imply endorsement.

8. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that content is complete, accurate, or current.

9. Limitation of Liability

To the fullest extent permitted by law, RPA and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Site, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless RPA, Earth HQ, and TCC, and their respective officers, directors, employees, and agents, from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in New York.

12. Changes to These Terms

We may revise these Terms from time to time. The "Effective Date" above reflects the date of the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

Talking Climate Collaborative ("TCC") is an initiative of Earth HQ, a project fiscally sponsored by Rockefeller Philanthropy Advisors, Inc. ("RPA"). RPA is a 501(c)(3) nonprofit organization headquartered at 120 Broadway, Suite 3475, New York, NY 10271.

By using the Site, you agree to the collection and use of information as described in this Privacy Policy.

2. Information We Collect

We collect the following categories of information:

Information You Provide Directly:

• Newsletter sign-up: name and email address when you subscribe to updates from TCC.
• Contact forms: name, email address, organization (if provided), and the content of your message.
• Donations: name, email address, billing address, and payment information when you make a donation, processed as described in Section 5 below.

Information Collected Automatically:

• Usage data such as pages visited, time on page, referring URLs, browser type, device type, and approximate location (derived from IP address), collected via cookies and similar tracking technologies, including Google Analytics.
• Cookie identifiers and similar technologies used to recognize your browser across visits (see Section 4).

3. How We Use Your Information

We use the information we collect to:

• Send the TCC newsletter and other communications you have requested;
• Respond to inquiries submitted through contact forms;
• Process and acknowledge donations, including issuing tax receipts;
• Understand how visitors use the Site so we can improve content, functionality, and user experience;
• Maintain the security and proper functioning of the Site;
• Comply with legal obligations.

We do not sell your personal information.

4. Cookies and Analytics

The Site uses cookies and similar technologies, including Google Analytics, to understand how visitors interact with our content. Google Analytics collects information such as pages viewed, session duration, and general geographic location. You can learn more about how Google uses this data and opt out using the Google Analytics opt-out browser add-on, or by adjusting your browser's cookie settings to block or delete cookies. 5. Donations and Payment Processing

Donations made through the Site are processed by a third-party payment processor Every.org. We do not store full payment card numbers on our servers; payment information is transmitted directly to and handled by the payment processor in accordance with its own privacy policy and applicable card-industry security standards (PCI-DSS).

Donation records, including donor name, contact information, and gift amount, are retained by RPA for accounting, tax-receipting, and legal compliance purposes.

6. Third-Party Service Providers

We share information with service providers who help us operate the Site and carry out the purposes described above, including our email newsletter provider, website analytics provider, and payment processor. These providers are authorized to use your information only as necessary to provide services to us and are contractually obligated to protect it.

We do not share your personal information with third parties for their own independent marketing purposes.

7. Sharing and Disclosure

Beyond the service providers described above, we may disclose information: to comply with a legal obligation, subpoena, or governmental request; to protect the rights, property, or safety of RPA, Earth HQ, TCC, our users, or the public; or in connection with a merger, reorganization, or transfer of Earth HQ's fiscal sponsorship arrangement with RPA, subject to continued confidentiality protections.

8. Data Retention

We retain personal information for as long as necessary to fulfill the purposes described in this policy, including ongoing donor and financial recordkeeping requirements, unless a longer retention period is required by law.

9. Your Rights and Choices

• Newsletter: every email includes an unsubscribe link.
• California residents: depending on applicable law, you may have rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information we collect and the right to request deletion. [Confirm applicability with legal before publishing.]
